As a condition of employment, I agree that all information which I receive or have access to as a result of my employment relating in any matter to the business activities, programs, concepts, designs or processes of American Express Company or any of its subsidiaries or affiliates are to be treated by me as proprietary and trade secret information and are to be kept in confidence, not to be disclosed to any unauthorized person, firm or enterprise during or after my employment, or used by me (or any one else) in any manner outside the scope of my employment, including, without limitations, use which could adversely affect American Express Company, its subsidiaries or affiliates. I further agree that anything developed by me, in connection with or which arises as a result of my responsibilities or from information or resources available to me as an employee of American Express will be proprietary to and exclusively owned by American Express.
I understand that if I am employed, my employment will not be for a definite duration and can be terminated at any time by either my employer or myself. I further understand that none of the company's personnel policies should be construed as a contract or as a guarantee of continued employment. No representative of American Express Company or any of its subsidiaries or affiliates, other than the Chairman or his designee, has authority to enter into or approve any agreement for employment for any specified period of time or to approve any agreement contrary to the foregoing.
Should my services terminate after accepting employment, it is understood that American Express or any of its subsidiaries or affiliates may supply, in confidence, to any prospective employer, my record, with no liability attaching to the company or any of its staff. I also agree, promptly upon such termination, to return any and all materials, equipment, information and media belonging to American Express, its subsidiaries and affiliates, and all copies of same in my possession or control.
I agree that, as a condition of being an applicant for employment and having my application for employment be considered by American Express, arbitration is the final, exclusive and required forum for the resolution of all employment-related disputes that are based on a legal claim between American Express and me. I understand that any such arbitration will be conducted pursuant to the American Express Employment Arbitration Policy. I further understand and agree that I shall have no right or authority for any claims to be arbitrated on a class action basis or on bases involving claims brought in a representative capacity on behalf of any other applicant, employee or other person similarly situated; provided, however, that my individual claim would be subject to the Arbitration Policy. Claims brought by or against another applicant, employee or American Express may not be joined or consolidated in the arbitration with claims brought by or against any other applicant, employee or American Express, unless otherwise agreed to in writing by all parties. Further, I agree that I will not have the right to participate in a representative capacity or as a member of any class of claimants in a court of law pertaining to any claims subject to arbitration. If I commence employment with American Express, I will continue to be subject to the terms of the Arbitration Policy.

After being hired, employees at most locations are issued a building pass which includes the employee’s photograph and signature, permanently enclosed in clear plastic. American Express, like banks and other commercial firms, has adopted this program for the protection of each employee’s personal property and for internal security.
In some states, including Massachusetts, an interested person for employment with a sealed record on file with the Massachusetts Commissioner of Probation may answer "no record" with respect to an inquiry herein relative to prior arrests, criminal court appearances or convictions. In addition, any applicant for employment may answer "no record" with respect to an inquiry relative to prior arrests, court appearances and adjudications on all cases of delinquency or as a child in need of services which did not result in a complaint transferred to the superior court for criminal prosecution.
