Terms and Conditions for Reward Multiplier

The terms and conditions set out below (“Terms of Use”) is a legal document which governs the use of https://www.americanexpress.com/in/benefits/rewards-program.html “Reward Multiplier” ; which is owned, managed and operated by American Express Banking Corp., a corporation organized under the New York State Banking Law, USA, authorized to carry on banking business in India; and having its principal office in India at MGF Metropolitan, 7th Floor, Saket District Centre, New Delhi-110017 (“AMEX”)

These Terms of Use shall apply to the relationship between AMEX and You (being a user of Reward Multiplier, and terms such as ‘You’ and ‘Your (s)’ shall be construed accordingly). These Terms of Use are effective as on the date of their publication and may be changed / modified by AMEX at any time.

AMEX Card(s) shall mean to include the following Cards issued by AMEX:

• American Express® Centurion Card,
• American Express® Platinum Card,
• American Express® Platinum ReserveSM Credit Card,
• American Express® Platinum Travel Credit Card,
• American Express® Gold Card,
• American Express Membership Rewards® Credit Card,
• American Express SmartEarn™ Credit Card,
• American Express® Platinum Corporate Card (Effective August 01, 2023),
  
• American Express® Gold Corporate Card (Effective August 01, 2023),
  
• American Express® Green Corporate Card (Effective August 01, 2023),
  
• All other Cards issued by American Express excluding all Cobrand Cards.

You hereby agree, confirm and understand that;

1. AMEX seeks to provide You an opportunity to earn additional Membership Rewards points (“Bonus MR Points”) on making purchases from merchants whose logos and/or products are listed on Reward Multiplier upon You using your AMEX Card. Upon You clicking on any merchant offers listed on the Reward Multiplier, You shall be redirected to the merchant website/platform to carry out the transaction operated by the respective merchant. The merchant website (“Third-Party Website”) is outside the control of AMEX and not covered by the privacy policy of AMEX. If You access such Third-Party Websites, the operators of such sites may collect information from You which will be used by them in accordance with their own privacy policies, which may differ from the privacy policy of AMEX. AMEX encourages You to review the privacy policies of such Third-Party Websites so that You understand if/how they collect and/or use information from You or Your device.
2. AMEX shall neither be responsible for availability of services nor guarantees the quality of the goods/services provide by the merchant and AMEX would not be liable for any defect or deficiency of goods or services so obtained/availed of by You through Reward Multiplier. Any disputes with regard to the quality of goods/services availed would be required to be taken up with the merchant  directly. AMEX shall have no liability whatsoever with regard to the same. AMEX shall not be liable whatsoever for any loss/damage/claims that may arise out of use or non-use of any goods or services availed through such merchants.
   
3. AMEX merely redirects You to the merchant website/platform and is free from any liability or such other legal obligations attached to sale goods and services by such merchant.
   
4. AMEX’s role shall be limited to crediting Bonus MR Points to Your respective AMEX Card account upon You making a valid transaction using Your AMEX Card; as and when it is communicated to AMEX by the merchant that a valid transaction has been made by You using Your AMEX Card on such a merchant website, upon being redirected from Reward Multiplier in a same session
   
5. AMEX’s role shall not extend to and, in any case, AMEX shall not bear responsibility of any kind in respect of the following activities:
   
   • Take possession, of any of the products or services offered by the merchant, in the course of a transaction entered into by the parties or hold any right, title or interest over the products and/or services offered by the merchant or incur any obligations or liabilities in respect of such products or services;
     
   • Provide any online payment gateway or such other facilities, through itself or its service providers, for collection, processing, facilitation and remission of payment against the purchase of products and/or services.
     
   • Undertake any guarantee that the merchant will perform any transaction concluded on its website/platform without breach of any terms thereof.
     
   • Mediate, resolve or arbitrate any dispute or disagreement between You and merchant as regards the transaction.
     
   • You shall be only entitled to earn Bonus MR Points upon You using Your AMEX Card Cards, issued in India, which is valid and in good standing. Bonus MR Points shall not be issued/granted upon You using any other card issued by AMEX including without limitation if You use American Express Cobrand Cards.
     
   • Nothing expressed or implied in this Terms of Use shall in any way waive or amend any of the terms and conditions of the existing cardmember agreement.
     
   • To receive the benefits covered under Reward Multiplier, purchase should be charged in full to your AMEX Card.
     
   • This offer is being made purely on a “best effort” basis and You are not bound in any manner to participate in this offer and any such participation is purely voluntary.
     

a) Eligibility to Use

1. Reward Multiplier should be accessed, and the services/products offered on merchant website/platform or any pages thereof should only be accessed/availed by users who are competent to enter into a legally binding and enforceable contract and have the authority to enter into the same.
2. Reward Multiplier offer would be valid from July 1, 2023 – December 31, 2023; the respective brands available on the platform may keep changing basis the offer availability from the participating merchant.
3. AMEX reserves the right to refuse access to Reward Multiplier to any users at any time for inspection, investigation and prevention of fraudulent activities or for such other reasons it may deem fit.
   
4. After You click on any merchant offers listed on Reward Multiplier, You may proceed by following steps mentioned below for validation
   
   • You may proceed by entering Your card number and 4-digit security code(on front right hand side of your card) as credentials sought in the respective fields.
     
   • Even if you are not initially validated owing to incorrect information, You may avail of another chance to be validated by entering Your card number and such other credentials again when prompted by a pop-up before being redirected to the merchant website/platform.
     
   • It is Your sole responsibility to ensure that You enter Your correct credentials and use the same card number at the time of making the transaction at the merchant website.
     
5. Any disputes towards credit of Bonus MR Points upon entering an incorrect card number or by way of bypassing this validation process shall not be entertained by AMEX.
   
6. On Corporate Cards, Reward Multiplier is eligible for cards enrolled on Membership Rewards.

b) Earning Bonus MR Points

1. AMEX shall determine, from time to time at its discretion, those transactions which are eligible for credit of Bonus MR Points and the number of Bonus MR Points which  You shall earn upon completion of a successful transaction on merchant website/platform.
2. The number / rate of Bonus MR Points that You could earn upon completion of a successful transaction on a merchant website/platform shall be clearly displayed on the Reward Multiplier.
   
3. Notwithstanding anything in above clauses (a) and (b), it is clarified that the indicated number of Bonus MR Points provides for a maximum cap and that You shall not be entitled to the full number. The actual Bonus MR Points earned by You may be lesser than the indicated number, depending on the net amount paid by way of the transaction with the merchant.
   
4. Bonus MR Points would not be awarded on any taxes, delivery charges, insurance fees, conversion fees, customs fee or any other fees paid during procurement of such goods / services from the merchant.
   
5. The maximum number of Bonus MR Points that could be earned by you would be capped at 25,000 Bonus MR Points per month.
   
6. The merchants at which such Bonus MR Points could be earnt by you is subject to change at the sole discretion of AMEX and without providing any notice.
   

c) Credit of Bonus MR Points

1. The base  membership rewards points earnt on any transaction shall be governed by the product specific membership rewards construct and membership rewards terms and conditions.
2. AMEX shall credit Bonus MR Points to Your card account, upon You making a successful valid transaction using Your AMEX Card on the merchant website/platform and upon respective merchant intimating AMEX of the same.
3. Such Bonus MR Points shall be credited to Your card account within a period of 120 business days from the date of valid transaction made on the merchant website/platform and upon respective merchant intimating AMEX of the same. The fulfillment timeline may get affected and it would be completed in 150 business days.

5. Bonus MR Points would be offered to You only for transactions that are done through Reward Multiplier. Transactions that are done directly on the merchants website would not be eligible for Bonus MR Points.
6. You shall earn Bonus MR Points only on genuine transactions which are successfully tracked and verified by the merchant. To ensure a successful credit of Bonus MR Points, You should perform the following activities:
   • You should clear Your browsers cookies/cache before logging;
     
   • You should enable cookies in Your browser settings;
     
   • You should ensure that You start shopping with an empty cart;
     
   • You should ensure that You are not using incognito or private browsing mode; and
     
   • You should not open any other coupon or price comparison sites in the same browser after being redirected from Reward Multiplier to the merchant’s website/platform.
7. Any transaction deemed as non-genuine or invalid by the merchant shall not qualify for credit of Bonus MR Points. The transaction may be deemed as non-genuine or invalid for any reasons, including but not limited, to the following:
   
   • You did not wholly complete the transaction on the merchant website/platform;
     
   • You cancelled the transaction, modified the terms thereof or performed an activity (i.e. fully/partially returned the purchased product/service) which had the effect of altering the terms of the transaction;
     
   • You did not clear Your cookies before You completed Your transaction as a result of which You ultimately get redirected to the merchant website/platform from a site operated by a third  party.
     
   • You did not comply with such terms and conditions stipulated by the merchant for transacting on its website/platform; or
     
   • You did not use your AMEX Card to complete the transaction.
     
8. In case a transaction is subsequently discovered to be non-genuine or is otherwise cancelled, the Bonus MR Points credited to Your card account as a result of such transaction shall be reversed from the accrued points balance in Your card account.
   
9. You will not earn Bonus MR Points if at the time of redirection, You open the mobile app of the merchant, unless specified on Reward Multiplier while redirection.
   
10. You will earn Bonus MR Points on the desktop and mobile website at the time of redirection to the merchant’s website/platform only when redirected from Reward Multiplier.
    
11. In case a transaction is taken on Hotel or Airline merchant, the offer fulfillment will be done within 45 days of availing the service at the partner merchant. The superceding clause of fulfillment of 150 business days will still apply in this case.

d) Exclusions :

1. Reward Multiplier is not applicable on below categories / products and no Bonus MR Points shall be awarded on the following products:

• For Ajio, the exclusions include Gold & Silver products.
• For Tanishq, the exclusions include gift cards.

Bonus MR Points would not be awarded on any taxes, delivery charges, or any other fees paid during procurement of such goods / services from the merchants

e) Terms & Conditions for MakeMyTrip bookings on Reward Multiplier

1. Additional Membership Rewards points to be credited within 120 days from the date of availing the service.
2. The cardmember will be eligible for reward points only if the purchases are made through Reward Multiplier and not directly on the merchant website.
3. Accelerated Membership Rewards are applicable only on international and domestic flight and hotel bookings.
4. Bonus MR Points would be offered to You only for transactions that are done through Reward Multiplier. 
5. Transactions that are done directly on MakeMytrip's website/mobile application would not be eligible for Bonus MR Points.
6. American Express reserves its absolute right to withdraw and/or alter any of the terms and conditions of the offer at any time without prior notice.

f) Terms and conditions for Etihad bookings on Reward Multiplier 

For Etihad Airways, additional Membership Rewards® points to be credited within 120 days from the date of availing the service.

g) All the past Offer are as below :- 

Offer: Reward Multiplier End of Season Sale Promotional -Offer Spend Based Offer (29th July - 15th August 2023)

• All the aforementioned offers are applicable only on purchases made between July 29, 2023, and August 15, 2023, and shall be fulfilled by 15th January 2024.
• The Qualifyin end(s) can be done across multiple transactions and across different brands / categories through Reward Multiplier during the offer period.
• Brands mentioned for redemption are subject to change. American Express reserves its absolute right to withdraw and/or alter any of the brands available for redemption at any time without prior notice. Queries related to offer fulfilment would be entertained till February 15, 2024.
• Gift vouchers purchased on Reward Multiplier would not be part of the offer
  Spends on the Supplementary Card(s) will be accounted under the Basic Card only. Cardmembers can get additional e-voucher once per card account (Basic + Supplementary) during the offer period, depending on the spend threshold achieved.
• Cardmembers can get additional e-voucher depending on the highest spend threshold achieved and only once per card account (Basic + Supplementary) during the offer period.
• Cardmembers will be eligible for additional e-Vouchers (provided cardmember meets the conditions on the spend amount and period in which the spends must be achieved) only if the purchases are made through American Express Reward Multiplier page. Spends done directly from website of merchants would not qualify for this offer. 
• The eligible spend will be considered basis spend shared by merchant partner. Taxes, delivery charges, or any other fees paid during procurement of such goods / services from the merchant will be excluded from the eligible spend.
• As part of the offer, only transactions which are successfully tracked and verified by the merchant partner will be considered as eligible spend. During the course of offer duration till the time of fulfilment, American Express shall not be able to validate the spend(s) achieved during the offer period. Cardmembers are advised to calculate his/her spend (done during the offer period on Reward Multiplier) and ensure all the terms and conditions are met to be eligible for the offer benefit.
• Card Member can track the spend by visiting their online American Express account / American Express Mobile app. Cardmembers need to ensure that the transaction is taken via Reward Multiplier and i-form is duly filled.
• Spends will be considered based on the transaction initiation date. Initiated date will be the date when a transaction has been taken through Reward Multiplier.
• Details of the additional e-voucher would be sent to Cardmember’s registered email address with American Express on or before 15th January 2024. American Express is not responsible for bounced back emails due to incorrect or incomplete registered email addresses.
• This offer is not applicable for corporate cards.
• American Express reserves its absolute right to withdraw and/or alter any of the terms and conditions of the offer at any time without prior notice.
• Standard Reward Multiplier terms and conditions will apply.
  

Fulfilment Journey:

• Eligible Cardmembers will be given a unique coupon code and cardmembers can select an e-voucher from select brands (as mentioned above).
• Coupon code will be valid for a period minimum 6 month from the date of issuance.Coupon code cannot be cancelled or refunded once issued.
• Coupon code cannot be transferred to the account of any other user.
• Coupon code cannot be redeemed for cash or credit.
• Coupon code redemption for an e-voucher from any of the above-mentioned brands will be governed by respective brand's terms and conditions.

Reward Multiplier Spend Based Offer – May 2023 (9th May -18thMay)

• The Qualifying spend(s) can be done across multiple transactions and across different brands / categories through Reward Multiplier during the offer period.
• Brands mentioned for redemption are subject to change. American Express reserves its absolute right to withdraw and/or alter any of the brands available for redemption at any time without prior notice. Queries related to offer fulfilment would be entertained till November 30, 2023.
• Gift vouchers purchased on Reward  Multiplier would not be part of the offer Spends on the Supplementary Card(s) will be accounted under the Basic Card only.
• Cardmembers can get additional e-voucher once per card account (Basic + Supplementary) during the offer period, depending on the spend threshold achieved.
• Cardmembers can get additional e-voucher depending on the highest spend threshold achieved and only once per card account (Basic + Supplementary) during the offer period.

During the course of offer duration till the time of fulfilment, American Express shall not be able to validate the spend(s) achieved during the offer period. Cardmembers are
  advised to calculate his/her spend (done during the offer period on Reward Multiplier) and ensure all the terms and conditions are met to be eligible
  for the offer benefit.
• Card Member can track the spend by visiting their online American Express account / American Express Mobileapp. Cardmembers need to ensure that the transaction is taken via Reward Multiplier and i-form is duly filled. For transactions taken on the e-voucher platform on Reward Multiplier doesn’t require an i-form to be filled.
• Spends will be considered based on the transaction initiation date. Initiated date will be the datewhen a transaction has been taken through Reward Multiplier.
• Details of the additional e-voucher would be sent to Cardmember’s registered email address with American Express on or before 31st October 2023. American Express is not responsible for bounced back emails due to incorrect or incomplete registered email addresses.
• Vouchers purchased one-voucher platform on American Express Reward Multiplier page or the one received under this offer will be governed by Terms & Conditionsapplicable for the usage and redemption as specified by respective brand/partner and are subject to change. Cardmembers are advised to check the applicable Terms & Condition of respective vouchers. 
• All the aforementioned offers are applicable only on purchases made between May 09, 2023, and May 18, 2023, and shall be fulfilled by 31st October, 2023.
• American Express reserves its absolute right to withdraw and/or alter any of the terms and conditions of the offer at any time without prior notice. Standard Reward Multiplier terms and conditions will apply.

Fulfilment Journey:

• Eligible Cardmembers will be given a unique coupon code (valid for one month from the date of issuance) and cardmembers can redeem it for an e-voucher from select brands (as mentioned above).
• Brand Voucher will be valid for a period minimum 6 month from the date of issuance.
• Brand Voucher cannot be cancelled or refunded once issued.Brand Voucher cannot be transferred to the account of any other user.
• Brand Voucher cannot be redeemed for cash or credit.
• Brand Voucher redemption for an e-voucher from any of the above-mentioned brands will begoverned by respective brand's terms and conditions.

Reward Multiplier Spend Based Offer – 1 March 2023 to 10 March 2023

• The Qualifying spend(s) can be done across multiple transactions and across different brands / categories through Reward Multiplier during the offer period.
  
• Spends on the Supplementary Card(s) will be accounted under the Basic Card only. Cardmembers can get additional e-voucher once per card account (Basic + Supplementary) during the offer period, depending on the spend threshold achieved.
  
• Cardmembers can get additional e-voucher depending on the highest spend threshold achieved and only once per card account (Basic + Supplementary) during the offer period.
        
• Cardmembers will be eligible for additional e-Vouchers (provided cardmember meets the conditions on the spend amount and period in which the spends must be achieved) only if the purchases are made through American Express Reward Multiplier page. Spends done directly from website of merchants would not qualify for this offer. 
• The eligible spend will be considered basis spend shared by merchant partner. Taxes, delivery charges, or any other fees paid during procurement of such goods / services from the merchant will be excluded from the eligible spend.

Cardmembers are advised to check the applicable Terms & Condition of respective vouchers. 
• All the aforementioned offers are applicable only on purchases made between March 01, 2023, and March 10, 2023, and shall be fulfilled by 31st August, 2023.
• American Express reserves its absolute right to withdraw and/or alter any of the terms and conditions of the offer at any time without prior notice. Standard Reward Multiplier terms and conditions will apply.

•  Eligible Cardmembers will be given a unique coupon code and cardmembers can select an e-voucher from select brands (as mentioned above).

 Reward Multiplier for New Year Offer (23X*, 23* MR Offer) :- 21 Jan 2023 to 31 Jan 2023

• American Express® reserves its absolute right to withdraw and/or alter any of the terms and conditions of the offer at any time without prior notice.
• During this promo period (21 January 2023 - 31 January 2023), Cardmember would get 23X on Centurion© Card and 23 Membership Rewards® points on every spend of ₹100 on American Express® Proprietary Cards. 
• The ongoing Reward Multiplier offer of 10X points on American Express® Centurion Card, 5X points on American Express® Platinum Card and American Express® Gold Card, 3X points on American Express Platinum ReserveSM Credit Card and American Express® Platinum Travel Credit Card and 2X points on other American Express® Proprietary Cards will not be applicable.
• This offer is only valid for transactions made through Reward Multiplier. 
• Transactions made directly on partner websites (outside of Reward Multiplier) would not be eligible for this offer.
• Additional Membership Rewards® points to be credited within 120 business days from the date of transaction.E-vouchers purchased via Reward Multiplier would not be a part of this offer.

Reward Multiplier for Year end offer promotion, effective from 20th December 2022 to 08th January 2023.

• The Qualifying spend(s) can be done across multiple transactions and across different brands / categories through Reward Multiplier during the offer period.
• Spends on the Supplementary Card(s) will be accounted under the Basic Card only. Cardmembers can get additional e-voucher once per card account (Basic + Supplementary) during the offer period, depending on the spend threshold achieved.

No one may copy, reproduce or distribute any part of this Reward Multiplier with or without modification or any data contained within Reward Multiplier without prior written consent of AMEX. You shall not commercially exploit the identity, logo or services of AMEX. AMEX reserves the right to seek injunctive and other similar remedies before the appropriate forum or court of law so as to prevent any such instances of infringement.

i) Third Party Content

1. All kinds of text, graphics, trademarks, brands, logos, product listings and specifications and such other advertisements related to the merchants as well as other data from external sources displayed on Reward Multiplier are owned by the respective merchants and are displayed on Reward Multiplier after taking merchants prior written consent (“Third Party Content”).
   
2. Such Third-Party Content is provided on an 'As Is' basis. AMEX does not own / have the rights and title to any such Third Party Content, or provide any guarantee with respect to the accuracy, title, merchantability, non-infringement or fitness for a particular purpose of any Third Party Content and shall not be held liable for any loss suffered by You based on his reliance on or use of such Third Party Content.

j) Use of Information and Materials

The information and materials contained on Reward Multiplier and pages thereof, and the terms, conditions, and descriptions that appear, are subject to change without prior notification. Not all products and services are available in all geographic areas. Your eligibility for particular products and services is subject to final determination and acceptance by merchant.

k) No Warranty

AMEX does not and shall not make any warranty or representation as regards the following:

1. Accuracy, adequacy or completeness of the information and materials displayed on Reward Multiplier or any pages redirected from Reward Multiplier. AMEX expressly disclaims liability for errors or omissions in this information and materials; and
   
2. Specifics (including but not limited to quality, value, saleability, non-infringement of third-party rights, title, merchantability and fitness for a particular purpose) of the products and services sold by merchants.
   
3. Timely and satisfactory performance of the contract of sale entered into between You and merchants.

l) Unauthorized Use of Reward Multiplier

1. The following instances shall amount to un-authorized use of site:
   
   • Making or attempting to make any transaction with any merchant by providing incorrect or false information with a view to fraudulently earn Bonus MR Points;
     
   • Posting of or uploading content which infringes any patent, trademark, copyright or other proprietary rights;
     
   • Posting of or uploading content which contains software viruses, or any other computer code, files or programs designed to interrupt destroy or limit the functionality of any computer resource;
     
   • Posting of or uploading content which deceives or misleads the addressee about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;
     
   • Engaging in tampering of Reward Multiplier including modification of URLs, distributing unauthorized URLs, email cloaking, running automated scripts or pages being speared and such other activity that interferes with or disrupts access to the site or the services performed through it; and
     
   • Undertaking such other activity in violation of these Terms of Use.
     
2. In the event of such un-authorized use, AMEX reserves the right to revoke, suspend or terminate your card account and forfeit any membership rewards and Bonus MR Points that have accrued in Your card account. You agree and acknowledge that AMEX shall further not be held liable for any loss or liabilities incurred by You or any third party as a consequence of such unauthorized use.

m) Indemnification

You shall indemnify and hold harmless AMEX, its owner licensee, affiliates, subsidiaries, group companies and their respective officers, directors, agents, and employees, from any claim or demand, or actions including reasonable attorneys' fees, made by any  third  party or penalty imposed in relation to or connection with the following events:

1. Any breach of these Terms of Use, privacy policy and such other policies;
2. Any incidents arising out of, or in connection with the use of Reward Multiplier or Amex website; and
   
3. Infringement and any other kinds of misuse of rights of a third party, including any intellectual property rights.
   

n) Disclaimer of liability

1. In no event shall AMEX be held liable for any damages, direct or indirect, special, incidental, or consequential damages, losses or expenses arising in connection with the use of Reward Multiplier or any pages redirected from Reward Multiplier.
   
2. Without prejudice to the generality of the above disclaimer, AMEX shall not be held liable in respect of occurrence of the following events:
   
   • Delay or inability to use Reward Multiplier or related pages or the provision of or failure to provide any information, software, products, and related graphics obtained through the site, or otherwise arising out of the use of Reward Multiplier, whether based on contract, tort, negligence, strict liability otherwise;
     
   • Non-availability of Reward Multiplier or AMEX website during periodic maintenance operations or any unplanned suspension of access to the site that may occur due to technical reasons or for any reason beyond AMEX’s control;
     
   • Any damage to Your computer systems / devices or loss of data that results from the download of such material or data; and
     
   • Any errors or omissions, with respect to any information provided to You whether on behalf of itself or third parties.

2. This Privacy Policy forms a part of these Terms of Use, and by agreeing to the same You shall be deemed to have given us explicit consent to handle Your information as per the terms of such policy.
   
3. If You have objections to the terms of the Privacy Policy, You may not avail of services provided by Reward Multiplier or any of AMEX  website or pages thereof.
   

p) Modification

1. AMEX may, at any time, make any change, add to or modify these Terms of Use without giving notice to You.
   
2. In the event AMEX makes any changes to these Terms of Use, You will be taken to have received notice upon AMEX posting details of such changes on Reward Multiplier and You agree to such revised Terms of Use, upon continuing to use Reward Multiplier.
   

q) Choice of Law & Jurisdiction These Terms of Use shall be governed by and interpreted and construed in accordance with the laws of India. You and AMEX shall submit all disputes arising out of or in relation to these Terms of Use to the exclusive jurisdiction of the courts of  Delhi.

r) Miscellaneous

1. Entire Terms of Use
   
   • These Terms of Use, together with any other legal notices or additional policies published by AMEX on Reward Multiplier, shall constitute the entire agreement between You and AMEX.
     
   • These Terms of Use shall not preclude the applicability of any other terms and conditions which shall govern Your relationship with the merchant in relation to the use of the latter’s website/platform
     
2. Assignment

AMEX shall have the right to assign its rights, obligations and licenses under these Terms of Use to any other person or entity, at its own sole discretion. You shall however not be entitled to assign Your rights, obligations or licenses granted to You under these Terms of Use without the prior written consent of AMEX.

3. Communication

AMEX may amend in a reasonable manner such provision to make it enforceable and such amendment will be given effect in accordance with such amended Terms of Use.

5. Waiver

Any failure or delay by AMEX to enforce or exercise any provision of these Terms of Use, or any related right, shall not constitute a waiver of that provision or right. Any waiver by AMEX shall only be made in writing and executed by a duly authorized officer of AMEX.
