Terms and Conditions for Primary Admins

Primary Admin’s Invitation and Authorization for Admin Access
As the Primary Admin on this Business Checking Account (the “Account”), by inviting and authorizing the individual Admin (the "Admin") to act on your behalf for the Account you:
- verify that any such individual is 18 years of age or older and has a Social Security Number or Individual Taxpayer Identification Number (ITIN) and a Physical U.S. Mailing Address;
- authorize and allow this Admin you are inviting to take the actions listed in the table below on behalf of the business named on the Account;
- will be liable for any and all transactions arising from any use of your Account by the Admin, as outlined in the table below. When you permit the Admin to use your Account, in any manner outlined below, you will be responsible for any and all transactions or activity made to or from your Account as well as any penalties or fees incurred by such Admin;
- agree to accept full responsibility for any and all actions taken by the Admin you have designated, in the manner outlined in the table below, and that you and the business named on the Account will continue to be bound by the terms and conditions of the agreement(s) governing the Account(s);
The Primary Admin, Admin(s) shall be entitled to perform the functions outlined below that are associated with your Business for their respective role:

Duration of Authorization
The Admin’s access to your Account(s) will start when the Admin’s application has been approved and shall continue until you or American Express revokes it, which we may do at any time in our sole discretion. You have the responsibility to remove an Admin when you no longer want them to have access to your Account. In addition, you will be responsible for all transactions, including pre-authorized and scheduled transactions, made by the Admin prior to removal. Until you remove the Admin, you will continue to be liable and responsible for any and all transactions or activity to or from your Account taken by the Admin in any manner outlined in the table above.

You understand that we may send you or your Admin email messages with important information about your Account and other products, services and offers from American Express. See the American Express Privacy Statement at http://www.americanexpress.com/privacy for more details. You can change your email preferences in your online account.
Modification of Program or Terms and Conditions
American Express reserves the right to revise these Terms and Conditions for Primary Admins at any time. American Express will indicate that changes to these Terms and Conditions have been made by updating the date indicated after "Last Modified" at the beginning of these Terms and Conditions. Any modifications to these Terms and Conditions will only affect your and our respective rights and obligations from the effective date of the change(s) and thereafter. If you do not agree with modified Terms and Conditions, you must terminate your use of the Admin program.
